Company Formation & Structuring

Starting up or restructuring? We help you choose, and set up, the right structure for your business.

What's included

  • Sole trader vs limited company advice
  • Company formation with Companies House
  • Director & shareholder set-up
  • Registering for CIS, VAT & PAYE

Who this is for

New construction businesses starting up who want the right structure from day one, and existing sole traders or partnerships weighing up whether incorporating actually makes sense for them. We'll also register you for CIS, VAT and PAYE as needed, so nothing gets left half set up.

Just starting out as a subcontractor? Our guide on how to register for CIS, and what happens if you don't covers the registration side in detail.

How we handle it

We start with your actual numbers and plans, not a generic rule of thumb, since whether incorporating saves money depends on your profit level, how much you need to draw out personally, and what you're planning over the next few years, not just this year's figures. If incorporation makes sense, we handle formation with Companies House, get directors and shareholders set up correctly, and register the new company for CIS, VAT and PAYE as needed, so you're not left with gaps that surface months later. We also flag anything that needs a second look, such as personal guarantees or existing contracts, before the switch happens rather than after.

Frequently Asked Questions

Is a limited company always better for tax than being a sole trader?

No, not always. It depends on your profit level and how much of it you need to draw out personally each year. Below a certain profit level, the extra cost and admin of running a company can outweigh the tax saving, which is why we look at your actual numbers before recommending either way.

How long does forming a limited company take?

Registration with Companies House is usually same-day once the paperwork is ready. Getting registered for CIS, VAT and PAYE where needed typically takes longer, so we start those registrations as early as possible to avoid a gap.

What happens to my existing contracts if I switch from sole trader to limited company?

They generally need to be reissued or formally novated to the new company, since a limited company is a separate legal entity from you personally. We flag this during the switch so it isn't missed.
